1. 服务提供方1. Service Provider

2. 服务内容2. Services

带货牛 ERP 提供面向跨境电商卖家的商品采集、商品编辑、商品刊登、批量改价、库存同步、订单同步、物流发货、采购管理、报表和相关运营工具。部分功能依赖卖家授权的 Amazon SP-API 或其他第三方平台接口，实际可用范围以平台审核、授权权限和系统开通状态为准。Daihuoniu ERP provides product sourcing, product editing, listing management, bulk pricing, inventory synchronization, order synchronization, shipping, purchasing, reporting, and related operation tools for cross-border sellers. Some features depend on seller-authorized Amazon SP-API or other third-party platform APIs. Actual availability depends on platform review, authorization scope, and system activation status.

3. 适用对象和账号资格3. Eligibility and Accounts

本服务面向企业、个体工商户和其他合法商业用户。你应提供真实、准确、完整的注册资料，并确保使用本服务的人员具有相应公司授权。你应妥善保管账号、密码、验证码、授权令牌和设备，不得转让、出租或共享给未经授权人员。The service is intended for companies, sole proprietors, and other lawful business users. You must provide true, accurate, and complete registration information and ensure users have appropriate company authorization. You must protect accounts, passwords, verification codes, authorization tokens, and devices, and must not transfer, rent, or share them with unauthorized persons.

4. 试用、开通和费用4. Trial, Activation, and Fees

带货牛提供免费试用和顾问式开通。收费服务的费用、周期、店铺数量、功能模块、服务支持和续费方式，以双方确认的订单、合同、报价单或后台订购页面为准。除双方另有书面约定外，已开通服务产生的费用不因第三方平台限制、卖家操作错误或未使用而自动退还。Daihuoniu offers free trials and assisted onboarding. Fees, billing period, store count, modules, support level, and renewal method for paid services are governed by confirmed orders, contracts, quotes, or in-product subscription pages. Unless otherwise agreed in writing, fees for activated services are not automatically refundable due to third-party platform restrictions, seller operation errors, or non-use.

5. Amazon 店铺授权5. Amazon Store Authorization

当你绑定 Amazon 店铺时，你授权带货牛在你选择的功能范围内访问和处理相关 Amazon 数据。授权可能包括商品、目录、价格、库存、订单、物流、采购和报表数据。你可以申请解绑店铺、停用模块或删除相关数据。你理解 Amazon 授权范围、接口可用性、审核状态和平台政策可能影响功能开通。When you connect an Amazon store, you authorize Daihuoniu to access and process relevant Amazon data within the selected feature scope. Authorization may include product, catalog, pricing, inventory, order, shipment, purchasing, and reporting data. You may request store disconnection, module deactivation, or deletion of relevant data. You understand that Amazon authorization scope, API availability, review status, and platform policies may affect feature activation.

6. 卖家责任6. Seller Responsibilities

• 确保商品、图片、标题、描述、价格、库存、税务和物流设置真实、合法、准确。Ensure product, image, title, description, pricing, inventory, tax, and shipping settings are truthful, lawful, and accurate.
• 确保使用带货牛服务符合 Amazon 政策、适用法律法规、知识产权规则和消费者保护要求。Ensure use of Daihuoniu complies with Amazon policies, applicable laws, intellectual property rules, and consumer protection requirements.
• 自行审核批量改价、批量刊登、库存同步和订单处理结果，避免误操作造成经营损失。Review bulk pricing, bulk listing, inventory synchronization, and order processing results to avoid business loss caused by mistakes.
• 及时处理订单、售后、退换货、平台通知、侵权投诉和合规要求。Handle orders, support, returns, platform notices, infringement claims, and compliance requirements promptly.

7. 禁止行为7. Prohibited Conduct

你不得使用本服务从事违法、欺诈、侵权、刷单、虚假评价、规避平台规则、爬取非授权数据、攻击系统、绕过权限控制、传播恶意软件、干扰其他用户或损害平台、消费者、第三方和我们合法权益的行为。You may not use the service for illegal, fraudulent, infringing activity, fake orders, fake reviews, platform-rule evasion, scraping unauthorized data, system attacks, bypassing access controls, distributing malware, interfering with other users, or harming the legitimate rights of platforms, consumers, third parties, or us.

8. 数据和隐私8. Data and Privacy

你保留对你提交、上传或授权数据的合法权利。你授予我们在提供、维护、保护、排错、审计和改进服务所需范围内处理这些数据的权限。我们对账号数据、Amazon 数据和买家个人信息的处理受 隐私政策 和 数据安全说明 约束。You retain lawful rights to data you submit, upload, or authorize. You grant us permission to process such data as needed to provide, maintain, protect, troubleshoot, audit, and improve the service. Our processing of account data, Amazon data, and buyer personal information is governed by the Privacy Policy and Data Security Statement.

9. 第三方平台和接口依赖9. Third-Party Platforms and API Dependencies

Amazon、物流服务商、云服务商、支付服务商或其他第三方平台可能调整政策、接口、费率、审核要求或服务可用性。上述变化可能导致部分功能延迟、中断、受限或需要重新授权。我们会在合理范围内协助排查和适配，但不对第三方平台的决定、故障或政策变化承担超出法律规定的责任。Amazon, logistics providers, cloud providers, payment providers, or other third-party platforms may change policies, APIs, rates, review requirements, or service availability. Such changes may delay, interrupt, restrict, or require reauthorization of some features. We will reasonably assist with troubleshooting and adaptation, but are not responsible beyond applicable law for third-party platform decisions, outages, or policy changes.

10. 服务可用性和支持10. Availability and Support

我们会合理努力保持服务稳定、安全和可用，但服务可能因维护、升级、网络、第三方接口、不可抗力、安全事件或监管要求而暂时不可用。我们可能通过官网、系统通知、客服或邮件发布维护和故障信息。We use reasonable efforts to keep the service stable, secure, and available, but the service may be temporarily unavailable due to maintenance, upgrades, networks, third-party APIs, force majeure, security events, or regulatory requirements. We may publish maintenance and incident information through the website, system notices, support, or email.

11. 知识产权11. Intellectual Property

带货牛的产品、软件、网站、界面、标识、文档、流程、技术方案和相关知识产权归郑州优豚网络科技有限公司或授权方所有。未经授权，不得复制、修改、反向工程、反编译、出租、出售、转授权或用于竞争性服务。Daihuoniu products, software, websites, interfaces, marks, documents, workflows, technical solutions, and related intellectual property are owned by Zhengzhou Youtun Network Technology Co., Ltd. or its licensors. You may not copy, modify, reverse engineer, decompile, rent, sell, sublicense, or use them for competing services without authorization.

12. 保密义务12. Confidentiality

双方应保护在服务开通、使用、支持和合作过程中获知的非公开商业信息、技术信息、账号信息和运营数据。未经对方同意，不得向无关第三方披露，法律法规、监管要求或平台审核要求除外。Both parties must protect non-public business information, technical information, account information, and operation data learned during activation, use, support, and cooperation. Such information may not be disclosed to unrelated third parties without consent, except as required by law, regulation, or platform review.

13. 账号暂停和终止13. Suspension and Termination

如果你严重违反本条款、拖欠费用、存在安全风险、侵犯他人权益、违反平台政策或法律法规，我们可以限制、暂停或终止相关功能或账号。你也可以申请终止服务或解绑店铺。终止后，我们会按隐私政策、数据安全说明、合同约定和法律要求处理数据保留、导出和删除。If you materially violate these Terms, fail to pay fees, create security risk, infringe others’ rights, or violate platform policies or laws, we may restrict, suspend, or terminate related features or accounts. You may also request service termination or store disconnection. After termination, data retention, export, and deletion are handled under the Privacy Policy, Data Security Statement, contract terms, and legal requirements.

14. 免责声明和责任限制14. Disclaimer and Limitation of Liability

在法律允许范围内，我们不承诺服务永不中断、完全无错误或完全满足所有业务预期。你应自行判断和审核系统输出、批量操作、价格设置、库存数量和订单处理结果。因卖家配置错误、第三方平台限制、网络故障、不可抗力、法律政策变化或未经授权使用造成的损失，我们将在合理范围内协助处理，但不承担超出法律规定和双方书面约定的责任。To the extent permitted by law, we do not guarantee that the service will be uninterrupted, error-free, or fully meet all business expectations. You should independently review system outputs, bulk operations, price settings, inventory quantities, and order processing results. For losses caused by seller configuration errors, third-party platform restrictions, network failures, force majeure, legal or policy changes, or unauthorized use, we will reasonably assist but are not liable beyond applicable law and written agreements.

15. 条款更新15. Updates to Terms

我们可能因业务、法律、平台规则、安全或产品变化更新本条款。重大变更会通过网站、系统通知、邮件或其他合理方式告知。变更生效后继续使用服务，表示你接受更新后的条款。We may update these Terms due to business, legal, platform rule, security, or product changes. Material changes will be communicated through the website, system notice, email, or other reasonable methods. Continued use after changes take effect means you accept the updated Terms.

16. 法律适用和争议处理16. Governing Law and Disputes

除法律强制规定另有要求外，本条款适用中华人民共和国法律。双方应优先友好协商解决争议；协商不成的，可提交服务提供方所在地有管辖权的人民法院处理。Unless mandatory law provides otherwise, these Terms are governed by the laws of the People’s Republic of China. The parties should first resolve disputes through friendly negotiation; if negotiation fails, disputes may be submitted to the competent court where the service provider is located.
